Notice: In the event of any discrepancy between the English and Chinese versions of these Terms of Service, the Chinese version shall prevail.
Fuuffy (www.fuuffy.com, hereinafter "Fuuffy", the "Website", the "Company", "we" or "us") is operated by Tradeluck (HK) Limited (registered office: Suite 3109, 31/F, Exchange Tower, 33 Wang Chiu Road, Kowloon Bay, Kowloon, Hong Kong). Fuuffy is an online platform that connects shippers and/or couriers and/or third-party service providers (the "Courier") for you to choose the courier service (the "Services"). The Website is designed to provide assistance to users ("User(s)" or "you") in creating and managing shipments (the "Shipment").
These Terms of Service (the "Terms of Service" or "Main Service Terms") represent a legally binding agreement between you (and your client, employer or another entity if you are acting on their behalf) and Fuuffy and its direct affiliates or subsidiaries.
You must read, agree with and accept all the terms and conditions contained in these Terms of Service and our Privacy Policy (available at www.fuuffy.com/about/privacy) prior to becoming a Fuuffy user. If you do not accept any provision in these Terms of Service and/or the Privacy Policy, you are not authorised to use this Website or our Services and shall immediately cease using this Website.

Section 1 — Acceptance of Terms
1.1 If you are entering into these Terms of Service on behalf of a company, business or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms of Service, in which case "you" or "your" shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with these Terms of Service, you shall not accept the Terms of Service on behalf of such entity and you are not authorised to use this Website or the Services.
1.2 By registering for the Services, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the Services' registration form. Our collection and processing of registration data and certain other information about you are governed by our Privacy Policy.
1.3 You acknowledge and agree that we may change or otherwise modify the Terms of Service in the future, and such changes and modifications shall become effective immediately upon posting to the Website. Your continued access or use of this Website after such change or modification constitutes your acceptance of the changed or modified Terms of Service and Privacy Policy. Fuuffy endeavours to provide you with notice of any changes to the Terms of Service, but Fuuffy's failure to do so shall not excuse your obligation to comply with any such modified Terms of Service. You shall periodically review the most current version of these Terms of Service as posted on the Website.
1.4 You acknowledge and agree that you may be subject to additional terms applicable to certain Services provided by us and/or the Courier that may be attached to such Services from time to time, including but not limited to the Fuuffy Dollar Rebate Programme Terms and Conditions. All such terms are hereby incorporated by reference into these Terms of Service. You will also be subject to the terms and conditions of the Courier which you have selected. You are solely responsible for reviewing the terms and conditions of the Courier which you have selected before you confirm the Shipment.
1.5 In the event that you commit any breach or violation of any terms and conditions under these Terms of Service, we reserve all our rights including but not limited to immediately terminating our Services, suspending your Fuuffy account, and/or taking other legal action against you without further notice.
1.6 The usage of any services not provided by us (including, without limitation, warehousing services) may require you to enter into a separate legally binding service agreement with a Courier. You acknowledge and agree that we do not assume any liability whatsoever for any acts, errors, or omissions (including, without limitation, any negligence or wilful misconduct) of the Courier with whom you or any of your affiliates may contract, regardless of the purpose. It is your sole responsibility to review the terms and conditions of the Courier which you have selected before you confirm the Shipment.
Section 2 — Definitions
2.1 Unless the context otherwise requires, the following terms used in these Terms of Service shall have the meanings set out below:
"Account" means your registered user account on the Fuuffy platform.
"Courier" means any third-party courier company or logistics service provider that provides courier services through the Fuuffy platform.
"Estimated Shipping Fee" means the estimated cost of a Shipment as quoted by Fuuffy after you have input all the relevant information.
"Final Shipping Fee" means the final shipping fee as stated in the Final Invoice.
"Final Invoice" means the invoice issued by Fuuffy to you for the Final Shipping Fee.
"Fuuffy Dollar" or "FD" means the virtual rebate units issued under the Fuuffy Dollar Rebate Programme Terms and Conditions.
"Privacy Policy" means the Fuuffy privacy policy published at www.fuuffy.com/about/privacy.
"Proforma Invoice" means the preliminary invoice issued to you for the Estimated Shipping Fee.
"Services" means all platform services provided by Fuuffy through the Website.
"Shipment" means a consignment submitted by you through the Fuuffy platform.
"Website" means www.fuuffy.com and its associated mobile applications.
Section 3 — Description of Services
3.1 Fuuffy is an online technology platform that provides users with a one-stop solution for comparing, selecting and placing orders for courier services. Fuuffy is not itself a courier company, nor is it the importer or owner of any item shipped.
3.2 The Courier companies providing the Services through Fuuffy are independent contractors, not agents or employees of Fuuffy or its affiliates. We and our affiliates shall not be responsible for the actions, errors, negligence, representations, warranties, breaches or misconduct of any such Courier company for any personal injury, death, property loss or damage, or any other damages or expenses.
3.3 The information, contents and Services published on this Website may contain inaccurate statements or typographical errors. We and our affiliates do not guarantee the accuracy of the information displayed on the Website.
3.4 Services may be obtained through any of the following channels: the Website, social networks and email. All such channels are subject to these Terms of Service. Fuuffy reserves the right to revise these Terms of Service for any new features added to the above-mentioned service channels.
3.5 You understand that the operation of the Services may involve (a) transmissions over various networks; (b) changes to conform and adapt to technical requirements of connecting networks or devices; and (c) transmission to Fuuffy's business partners. Accordingly, you acknowledge and agree that you bear sole responsibility for adequate security, protection and backup of Your Content.
3.6 Fuuffy may (but has no obligation to) provide technical support services through email in accordance with our standard practice. Fuuffy may use the email and/or the telephone number provided by you to send you updates about your packages, gather consignee feedback, and generally contact you whenever Fuuffy considers it necessary for the provision of its Services.
3.7 In the event that you wish to change any information regarding the Shipment (such as address, items included or other matters), please contact us directly (by email or WhatsApp to our customer service team — see www.fuuffy.com for details). If the Shipment has already been handed over to any Courier, such changes may not become effective, or the Courier may charge a fee. Any change of information regarding the Shipment shall be subject to the final approval and confirmation by the Courier.
3.8 In the event that you wish to enquire, lodge a claim or complaint regarding the Shipment, please contact us directly (by email or WhatsApp to our customer service team — see www.fuuffy.com for details).
3.9 In the event that a Shipment is recalled and the Courier does not provide returned delivery to the sender address, the Shipment item will be returned to Fuuffy. You may choose to collect the Shipment item, at your own expense, at a designated location provided by Fuuffy, or pay a return shipping fee in an amount quoted by Fuuffy (including but not limited to any penalty charged by the Courier in respect of shipment of prohibited items), and Fuuffy will ship it to your sender address.
Section 4 — Account Registration and Security
4.1 To register an account on Fuuffy, you must provide valid identity information including your legal name, mobile number and address in Hong Kong. If you are acting on behalf of a company, business or other legal entity, you must provide your company registration name and a valid address in Hong Kong. If you fail to provide such information before using our Services, Fuuffy may refuse to provide services.
4.2 You are responsible for maintaining the confidentiality of your account login credentials and are fully responsible for all activities that occur under your Account. You shall immediately notify Fuuffy of any unauthorised use of your Account or any other security breach.
4.3 Fuuffy shall not be liable for any loss or damage arising from your failure to comply with this Section.
Section 5 — User Responsibilities and Prohibited Conduct
5.1 When using the courier services provided by Fuuffy and the Courier, you must provide the recipient information and the consignment information accurately and truthfully. The complete recipient address information shall be affixed on the consignment package in accordance with the specifications required by Fuuffy. If the consignment delivery fails or other costs are incurred due to missing information which should have been provided by you, you shall bear all responsibility.
5.2 The export documents, materials or goods that you entrust Fuuffy to transport must comply with the relevant regulations of the Customs, Commodity Inspection and Quarantine departments of the HKSAR Government and the relevant departments of the destination country.
5.3 Fuuffy will only charge the package freight and related operating costs before shipping. This fee does not include any taxes and other costs that may be incurred in the destination country or area. Any customs duties or other miscellaneous charges that may be incurred when the package is cleared by foreign customs must be paid by the recipient. If the package is returned or abandoned due to the recipient's refusal to pay the relevant fees, the costs and other charges associated with returning or abandonment of the shipment(s), including transportation and any applicable duties, taxes and admin fees, shall be borne by you.
5.4 You shall not use the Services and/or the Website to (or assist another person to): (a) upload any content that infringes any intellectual property or other proprietary rights; (b) interfere with or disrupt the Services or servers or networks connected to the Services; (c) violate any applicable law or regulation; (d) impersonate any person or entity; or (e) obtain or attempt to access any materials or information through any means not intentionally made available through the Services.
5.5 Both Fuuffy and you undertake to keep confidential the trade secrets (technical information, business information and other trade secrets) obtained from the other party and which cannot be obtained through public channels. Without the consent of the original provider, neither party shall disclose all or part of such trade secret to any third party, except as otherwise provided by laws and regulations or agreed by both parties.
Section 6 — Prohibited Items
6.1 For everyone's safety, the following types of products are prohibited from shipment through Fuuffy. This list is not exhaustive, and you are solely responsible for checking with the relevant laws, rules and regulations of the local and/or overseas customs and/or government authorities:
(a) Illegal Items — Any product related to illegal activities or which is prohibited by law in the place of origin, destination, or any site through which such product travels.
(b) Controlled Products — Any product requiring specific licences to store, distribute, import or export.
(c) Counterfeit and Infringing Products— Counterfeit products and products that infringe any third party's intellectual property rights, including unauthorised use of copyrighted material, registered trademarks and/or patents.
(d) Weapons — Firearms, ammunition, explosive weapons, high-powered laser pointers, silencers and any component parts or building kits thereof.
(e) Drugs and Drug Paraphernalia — Tobacco and nicotine products, marijuana and cannabis products, e-cigarettes and related products, recreational and/or party drugs, pill press machines.
(f) Graphic Sexual Content — Hardcore pornography, sexual content involving or relating to minors.
(g) Privacy and Technology Violations — Products designed to intentionally block signal transmission or reception, spy cameras for unlawful activities, odometer-altering devices, media streaming devices intended to access unauthorised content.
(h) Medically Regulated Materials — Contact lenses, human growth hormone, prescription-strength items, substances administered via injection.
(i) Hazardous Materials — Butane, hoverboards, human by-products, pesticides, tyre spikes.
(j) Materials for Consumption (prohibited under all circumstances) — Alcohol.
(k) Counterfeit Currency— Replica banknotes or coins not clearly marked as "reproduction", "replica" or "copy".
(l) Animal Products — Live animals, threatened or endangered species.
(m) Plants and Plant Seeds — Plants, plant seeds.
(n) Price-Gouging Items — Any product involving price gouging.
6.2 If Fuuffy and its affiliates and/or their respective Courier companies have reason to suspect that the consignment items delivered by you do not meet the applicable laws or regulations, and if upon notification by Fuuffy you do not cooperate with unpacking and inspection, Fuuffy has the right to refuse to accept the goods, and you shall bear all related losses. All paid fees shall not be returned.
6.3 If you intended to deliver prohibited items by dishonest declaration or any other reason, or if improper packaging or the nature of the consignment causes the consignment items to be damaged, deficient, or detained by relevant authorities, thereby endangering personal safety, polluting or damaging other packages and facilities, you shall bear all the economic losses and legal liabilities arising therefrom. Fuuffy reserves the right to charge you an administrative cost and to refuse to ship the consignment.
6.4 You grant Fuuffy and/or the Courier and/or any authorised third parties the right to inspect your Shipment at any time. We reserve the right to reject or suspend the carriage of any item which we suspect will breach any law.
Section 7 — Shipping Fees and Payment
7.1 Shipping Fees.A shipping fee will be charged for each Shipment, which shall include all costs related to the Shipment, as quoted by Fuuffy (the "Estimated Shipping Fee") after you have input all the relevant information. The Estimated Shipping Fee shall include but not be limited to shipping cost, fuel surcharge, insurance fee, import tax, import duty, remote area surcharge, courier tax handling fees, pick-up fees, peak season surcharge and any other amount related to shipping through Fuuffy. Fuuffy may revise the Estimated Shipping Fee from time to time before the issuance of the Final Invoice.
7.2 Billing.You must provide complete and accurate payment information. Payment for Fuuffy's Services shall be made by any of the accepted payment methods as set out on the Website. Once you have confirmed the Shipment, Fuuffy will send you a Proforma Invoice for the Estimated Shipping Fee and charge the amount from the payment information you provide. The Estimated Shipping Fee is subject to revision from time to time based on the actual weight and dimensions of the shipment item, as well as the situations mentioned in Sections 7.1, 7.3 and 7.4. The Courier will send us a report after the item has been delivered to the destination. Upon receipt of the report, Fuuffy will send you the Final Invoice for the difference (if any). Fuuffy will charge from or refund the difference to your Account. The report from the Courier for the shipment item shall be treated as conclusive evidence of the matters stated therein, save where you provide sufficient evidence to the contrary within the Dispute Period set out in Section 7.5.
7.3 Discrepancies.Quotations for the Estimated Shipping Fee by Fuuffy are based on the information provided by you, including but not limited to sender's address, receiver's address, weight, dimensions, and value of the items. In the event that there is a discrepancy between the Estimated Shipping Fee and the costs for the Shipment incurred by the Courier due to incorrect information that you provided, you will be solely responsible for such discrepancy amount. Fuuffy specifically disclaims any liability for any shipping fee errors due to inaccurate or incomplete information.
7.4 Currency Fluctuations. Fuuffy reserves the right to adjust its pricing in response to currency fluctuations, including but not limited to currency conversion rate changes, conversion fee changes, and/or discount rate changes from time to time and without any notice.
7.5 Shipping Fee Disputes.In the event that you disagree with any Shipping Fees charged to your account, you shall submit such complaint to the Fuuffy contact listed on the Website within thirty (30) days after the Final Invoice has been issued (the "Dispute Period"). Fuuffy will not review requests for shipping fee adjustments received after the Dispute Period.
7.6 Duties and Taxes.You acknowledge and agree that all fees, charges and any other rates or amounts charged by the Courier to you hereunder are exclusive of any applicable value added, sales/use or goods and services taxes ("Transaction Taxes"). You shall be solely responsible for paying any Transaction Taxes arising in respect of the Shipping Fees or other amounts charged by Fuuffy. Any User who incorrectly declares the commodity type and/or value of the shipment(s) may be charged a penalty imposed by the Courier plus a handling fee charged by Fuuffy. Fuuffy shall have sole discretion in relation to the amount of any such penalty.
7.7 Credit Terms and Late Payment Penalty. Fuuffy may offer a credit term to you for the settlement of the Final Shipping Fee. We may also offer a discount for early settlement, but the discount rate may be revised from time to time at Fuuffy's absolute discretion. Fuuffy reserves the right to impose a penalty on each invoice which has not been settled within the credit term.
Section 8 — Cancellation and Refund
8.1 You may cancel any available and unused shipping label and request a refund prior to pick-up by the Courier being processed. Fuuffy will refund the Estimated Shipping Fee to you within fourteen (14) days from the date of your cancellation request.
8.2 In the event that the Shipment has already been processed and sent over to or collected by the Courier, such Shipment may not be cancelled and you shall be liable for the Final Shipping Fee and any other related fees.
Section 9 — Intellectual Property
9.1 All services provided on this Website, including but not limited to text, content, photos, videos, sounds and pictures, are the property of Fuuffy and are protected by copyright laws and other intellectual property laws. This Website and all related services may be used by you only in accordance with these Terms of Service, whether for personal or business purposes. Except as necessary for your own use of the Services, you shall not copy, reproduce, republish, or commercially exploit the content of the Website itself.
9.2 Other than as permitted herein, you shall not (and you shall not permit others to), directly or indirectly, modify, translate, decompile, disassemble, or reverse-engineer any part of Fuuffy's property and/or any intellectual property of the Courier. All page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of Fuuffy and/or the Courier.
9.3 All data, information and content submitted by you in the Services ("Your Content") shall remain your property. You hereby grant to Fuuffy a worldwide, non-exclusive, perpetual, irrevocable, royalty-free licence to use, modify, reproduce and distribute Your Content solely as needed to provide the Services and to improve Fuuffy's products and Services.
Section 10 — Confidential Information
10.1 Definition.Each party (the "Recipient") acknowledges that it may receive Confidential Information. For purposes of these Terms of Service, Confidential Information means any information provided by the other party (the "Discloser") that is marked, labelled or otherwise designated as confidential or proprietary, or that Recipient knew, or should have known, was confidential due to the circumstances surrounding the disclosure.
10.2 Exclusions.The following shall not constitute Confidential Information: (a) Non-transactional Confidential Information; (b) information publicly known at the time of disclosure; (c) information received by Recipient without restriction from a third party; (d) information published or otherwise made known to the public by Discloser; (e) information generated independently without reference to the Discloser's Confidential Information; or (f) information required to be disclosed under a court order or pursuant to any applicable governmental rule, regulation or statute.
10.3 Standard of Care.Recipient shall not use the Confidential Information for any purpose other than as required by these Terms of Service. Recipient shall not disclose the Confidential Information to any third party, other than as required to perform the Services and/or as required by law or court order. Recipient shall use at least the same standard of care with the Discloser's Confidential Information as it does with its own Confidential Information, but in no event less than reasonable care.
10.4 Return or Destruction.Other than transactional information retained in the ordinary course of Fuuffy's business or under the requirements of the Courier, applicable laws or court orders, each party shall either promptly return all Confidential Information or confirm that such Confidential Information has been destroyed upon receipt of written request from the other party.
10.5 Aggregate Use.You acknowledge and agree that Fuuffy may compile aggregate results from all of, or a selection of, your use of the Services, provided that Fuuffy shall not disclose any information that would individually identify you (the "Aggregate Information"). Such Aggregate Information shall be deemed Fuuffy's Confidential Information and shall belong to Fuuffy.
10.6 Privacy Policy. Fuuffy is committed to protecting your privacy. Any information you provide to us or input on the Website will be used in accordance with our Privacy Policy (see www.fuuffy.com/about/privacy). We do not sell, rent, or otherwise disclose your Confidential Information to a third party without your consent or as permitted by the Privacy Policy.
Section 11 — Privacy and Data Protection
11.1 Fuuffy collects, processes and stores personal data in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of the Laws of Hong Kong ("PDPO"). For details, please refer to our Privacy Policy.
11.2 By using this Website and the Services, you consent to our collection and processing of your personal data in accordance with the Privacy Policy.
11.3 You agree that Fuuffy may use the email address, telephone number and other contact details you have provided (including but not limited to WhatsApp, SMS and app push notifications) to send you service-related notices, package updates, promotional information and other electronic communications. You may unsubscribe from promotional communications at any time through the Member Centre in your account settings.
Section 12 — Disclaimers
12.1 As Is.Users acknowledge that the Services and the Website are provided on an "as is" and "as available" basis. Fuuffy expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. The use of the Services, Website, or third-party services shall be at your own risk.
12.2 Shipping Fee Quotations. Shipping fees quoted on the Website are liable to change at any time, but changes will not affect bookings already accepted. Despite our best efforts, some of the services listed on the Website may be incorrectly priced or subject to revision. We expressly reserve the right to correct any shipping fee errors on the Website from time to time. Fuuffy is under no obligation to provide courier services to you at an incorrect (lower) price, even after you have been sent confirmation of your booking.
12.3 No Continuous Access. Fuuffy does not guarantee continuous, uninterrupted or secure access to the Services. Operation of the Services may be interfered with by numerous factors outside of our control. Fuuffy will make reasonable efforts to process requests in a timely manner but makes no representations or warranties regarding the amount of time needed to complete processing.
12.4 You understand that Fuuffy does not inspect your goods nor does Fuuffy take any responsibility for the business decisions that you make and implement through the Services.
Section 13 — Limitation of Liability
13.1 Third-Party Liability. By accepting these Terms of Service, you acknowledge and agree that we do not assume any liability whatsoever for any acts, errors, or omissions (including, without limitation, any negligence or wilful misconduct) of any Courier with whom you or any of your affiliates may contract, regardless of the purpose.
13.2 Waiver of Consequential Damages and Limitation of Liability.In no event shall Fuuffy be liable for any direct, indirect, incidental, special or consequential damages, or damages for loss of Shipments, loss of profits, revenue, data or use, incurred by you or any third party. Other than as set forth below, in no event shall Fuuffy's liability under these Terms of Service exceed the monies paid or payable by you to Fuuffy for the applicable services excluding the actual shipping fees charged by the Courier or other third-party fees (the "damages cap").
13.3 Declaration and Accurate Information. You are responsible for providing complete and accurate information in respect of the Shipment. You shall be solely responsible for any error, damage, expense or consequence resulting from wrong or incomplete information. You shall further fully indemnify Fuuffy and hold Fuuffy harmless from any loss or expense resulting from such wrong information.
13.4 Customs. Fuuffy shall not be liable for any loss, delay, or damage of items shipped while in the hands of local and/or overseas customs. In addition, Fuuffy shall not be held responsible in the event that customs confiscates, holds, or denies release of the Shipment to the receiver.
13.5 Service Provided by Courier. Fuuffy is a technology platform that connects you and the Courier. In no circumstances shall Fuuffy be liable for any services provided by any Courier. Fuuffy is not liable for any damage, destruction, or loss of Shipment, late delivery, or issues with tracking by the Courier. Fuuffy is not liable for the delivery time information shown on the Website.
13.6 Unauthorised Transactions. In the event of an unauthorised transaction by a Fuuffy employee or agent, Fuuffy is only liable up to the damages cap. Fuuffy must be notified within five (5) days after any unauthorised transaction; otherwise any complaint regarding the unauthorised transaction will not be entertained.
13.7 Other. Fuuffy is not liable for any fees or expenses resulting from a change of information from your side (for example, change of address, order cancellation, or order call-back) after a Shipment has been confirmed by the Courier and paid by you to Fuuffy. Fuuffy is not liable for any delay in the generation of shipping documents.
13.8 Non-Excludable Liability.Nothing in these Terms of Service shall exclude or limit Fuuffy's liability for (a) death or personal injury caused by Fuuffy's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under the laws of the Hong Kong Special Administrative Region, including the Control of Exemption Clauses Ordinance (Cap. 71). Where any exclusion or limitation in these Terms of Service is held to be unenforceable, the remaining provisions shall continue to apply to the maximum extent permitted by law.
Section 14 — Indemnification
14.1 You agree to fully indemnify and hold harmless Fuuffy, our officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including but not limited to legal costs and disbursements, due to or arising out of your use of the Services and/or your violation of these Terms of Service.
14.2 Upon requesting our Services, you agree to fully indemnify and hold harmless Fuuffy from any and all claims for transportation, storage, handling and other charges relating to the goods in respect of the Shipment, including undercharges, rail demurrage, truck/intermodal detention and other charges of any nature, even though Fuuffy and/or the Courier had accepted such order.
Section 15 — Insurance
15.1 You are advised to purchase insurance coverage for your Shipments.
Section 16 — Account Termination
16.1 You have the right to terminate your Account at any time by sending a cancellation request to the Fuuffy contact as stipulated on the Website.
16.2 Fuuffy may terminate your Account and these Terms of Service at any time immediately without any prior notice to the administrative email address associated with your Account. Fuuffy also reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof). Upon any termination of your Account, Fuuffy may store all of your Content on the Services (if any), or it may be permanently deleted by Fuuffy, in its sole discretion.
16.3 Termination of the Account shall not affect any rights and obligations of the parties accrued prior to termination, nor shall it affect any provision of these Terms of Service which is expressly or by implication intended to survive termination.
Section 17 — Dispute Resolution
17.1 If you have any complaint about the Services, please log a support case for resolution by sending an email to Fuuffy. If you feel an escalation is merited, please email Fuuffy regarding your unresolved case and your concern. For the avoidance of doubt, this does not waive the notice requirement set out in these Terms of Service.
Section 18 — General Provisions
18.1 Governing Law and Jurisdiction. These Terms of Service, and any dispute relating thereto, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region without regard to the choice or conflicts of law principles of any jurisdiction. Each party submits to the non-exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region in relation to any disputes or claims arising out of or in connection with these Terms of Service.
18.2 Severability. If any part or provision of these Terms of Service is or becomes illegal, unenforceable, or invalid under any enactment or rule of law or by any court in any jurisdiction, that part or provision is deemed to be modified to the extent required to remedy the illegality, unenforceability or invalidity. If a modification is not possible, the part or provision must be treated as severed from these Terms of Service. The remainder of these Terms of Service will remain in full force and effect.
18.3 No Waiver. Failure or delay of Fuuffy to exercise any right or power under these Terms of Service shall not operate as a waiver thereof, nor shall any single or partial exercise of a right or power preclude any other future exercise thereof.
18.4 Notices to You. You agree that Fuuffy may provide notice to you by posting it on our Website, emailing it to the email address listed in your Account, showing a notification when you log in to your Account, or mailing it to the street address listed in your Account. Such notice shall be considered received by you within twenty-four (24) hours of posting or emailing.
18.5 Assignment.You shall not transfer or assign any rights or obligations you have under these Terms of Service without Fuuffy's prior written consent, and any attempted assignment without that consent will be void. Fuuffy reserves the right to transfer or assign these Terms of Service or any right or obligation hereunder at any time. Where reasonably practicable, Fuuffy will give you notice of any material assignment.
18.6 Legal Costs. Fuuffy shall have the right to collect from you its reasonable costs and necessary disbursements and legal costs incurred in enforcing these Terms of Service on an indemnity basis.
18.7 Force Majeure.Fuuffy shall not be liable for any delays or inability to perform the Services caused by forces beyond Fuuffy's control including, without limitation, acts of God, acts of third-party service providers, war, terrorism, seizure under legal process, strikes, lockouts, riots and civil commotions.
18.8 Third Party Rights. Any person or entity who is not a party to these Terms of Service shall have no rights under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) of the Laws of Hong Kong to enforce any term of these Terms of Service.
18.9 Entire Agreement. These Terms of Service (together with all supplemental terms and policies incorporated by reference herein) constitute the entire agreement between you and Fuuffy in relation to the use of the Services, and supersede all prior written or oral agreements in respect of the same subject matter.
18.10 Electronic Communications Consent. You consent to receiving electronic communications from Fuuffy. Fuuffy reserves the right to terminate your Account if you withdraw your consent to receive electronic communications.
